1. Agreement to Terms

By accessing or using the FormaNova platform, including our web application and human-assisted services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User" or "you") and FormaNova ("Company," "we," "us," or "our"), a company organized under the laws of the United States.

2. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that:

  • You are at least 13 years old;
  • If you are between 13 and 18 years of age, you have obtained parental or guardian consent;
  • You have the legal authority to enter into these Terms; and
  • Your use of the Service does not violate any applicable laws or regulations.

FormaNova complies with the Children's Online Privacy Protection Act (COPPA). We do not knowingly collect personal information from children under 13. If we discover that a child under 13 has provided personal information, we will promptly delete it.

3. Description of Services

FormaNova provides AI-powered jewelry photography and design services, including:

  • AI-Generated Jewelry Photography: Upload images of your jewelry and receive professionally rendered, AI-generated product photos suitable for e-commerce and marketing use.
  • Text-to-CAD Design: Submit design descriptions or specifications and receive AI-generated Computer-Aided Design (CAD) files for jewelry manufacturing or prototyping.
  • Human-Assisted Services: Access to our team for guided, hands-on assistance with photography and CAD outputs.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

4. Payments and Pricing

4.1 Payment Models

The Service is available through the following purchase options:

  • Pay-Per-Use / Credits: Purchase credits that are consumed as you use the Service. Credit balances are non-transferable and have no cash value.
  • One-Time Purchases: Certain deliverables or service packages may be available for a one-time flat fee.

4.2 No Refund Policy

ALL PURCHASES ARE FINAL. FormaNova does not offer refunds of any kind, including for unused credits, one-time purchases, partially completed projects, or dissatisfaction with AI-generated outputs. By completing a purchase, you acknowledge and agree to this no-refund policy.

In the event of a technical error or service outage that prevents delivery of your purchased output, FormaNova may, at its sole discretion, issue service credits as a remedy. This does not create an obligation to provide refunds.

5. Intellectual Property and Ownership

5.1 User Ownership of Outputs

Subject to your compliance with these Terms and payment of applicable fees, FormaNova assigns to you all right, title, and interest in and to the AI-generated photos and CAD files produced from your inputs ("Outputs"). You own your Outputs and may use them for any lawful commercial or personal purpose.

5.2 User Content License

By uploading jewelry images or other materials to the Service ("User Content"), you grant FormaNova a limited, non-exclusive, royalty-free license to store and process your User Content solely for the purpose of providing the Service to you. We do not use your User Content to train AI models.

5.3 FormaNova Intellectual Property

All technology, software, systems, brand elements, and proprietary methods underlying the Service remain the exclusive property of FormaNova. These Terms do not grant you any rights to our intellectual property other than as expressly stated herein.

6. User Responsibilities and Prohibited Uses

6.1 Ownership of Uploaded Content

You represent and warrant that you own or have all necessary rights, licenses, and permissions to upload any jewelry images or design materials to the Service. You must not upload images or designs to which you do not hold the rights.

6.2 Prohibited Uses

You agree not to use the Service to:

  • Generate photographs or CAD files of counterfeit jewelry, designs that infringe on third-party trademarks, patents, or other intellectual property rights, or any items that could be used to deceive consumers;
  • Upload content you do not own or have explicit rights to use;
  • Reverse-engineer, decompile, or attempt to extract the source code or underlying models of the Service;
  • Use the Service in any manner that violates applicable laws, regulations, or these Terms;
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure;
  • Attempt to gain unauthorized access to any part of the Service or related systems.

7. User-Uploaded Model Images and Right of Publicity

7.1 User Representations and Warranties

If you upload images featuring identifiable individuals ("Model Images") — including human models wearing or displaying jewelry — you represent and warrant that:

  • You have obtained a valid, signed model release or equivalent written consent from every identifiable person appearing in the uploaded images, granting you the right to use their likeness for commercial purposes, including AI processing and output generation;
  • You hold all rights necessary to upload, reproduce, and commercially exploit the Model Images and any AI-generated outputs derived from them;
  • The use of any Model Images in connection with the Service does not violate any applicable right of publicity, right of privacy, defamation, or other personal rights of any individual depicted; and
  • You are solely responsible for ensuring your Model Images comply with all applicable federal, state, and local laws.

7.2 Prohibition on Images of Minors as Models

You may not upload any Model Images featuring individuals under the age of 18 as models or subjects. This is strictly prohibited and constitutes grounds for immediate account termination. FormaNova assumes no liability for any user violation of this prohibition.

7.3 Biometric Data Disclaimer

Some jurisdictions, including Illinois (Biometric Information Privacy Act), Texas, and Washington, regulate the collection and processing of biometric identifiers such as facial geometry. By uploading Model Images, you acknowledge that:

  • You are solely responsible for ensuring that your upload and use of Model Images complies with all applicable biometric privacy laws in your jurisdiction;
  • FormaNova processes Model Images solely to generate requested outputs and does not intentionally collect, store, or use biometric identifiers for any other purpose; and
  • FormaNova makes no representation that its AI processing is compliant with any specific state biometric privacy law, and you assume all risk and liability related to biometric data contained in your uploads.

7.4 Indemnification

You agree to indemnify, defend, and hold harmless FormaNova and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your upload or use of any Model Images on the Service;
  • Any alleged violation of a third party's right of publicity, right of privacy, or biometric privacy rights arising from your Model Images; or
  • Any breach of the representations and warranties set forth in this Section 7.

7.5 FormaNova's Right to Remove Content

FormaNova reserves the right, at its sole discretion, to remove or disable access to any Model Images or related outputs if we receive a complaint or have reason to believe that the content violates a third party's right of publicity, right of privacy, or any applicable law. Removal of content does not entitle you to any refund or credit.

8. Data Storage and Privacy

When you use the Service, FormaNova stores the following data:

  • Uploaded jewelry images and other User Content submitted for processing;
  • AI-generated outputs (photos and CAD files) produced on your behalf.

We do not sell your data to third parties. Stored data is used solely to provide and improve the Service. Please refer to our Privacy Policy for complete details on how we collect, use, and protect your information.

9. Disclaimers and Limitation of Liability

9.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FORMA NOVA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR SPECIFIC REQUIREMENTS.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMA NOVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total amount you paid to FormaNova in the three (3) months preceding the claim.

10. Termination and Account Suspension

FormaNova reserves the right to immediately suspend or permanently terminate your access to the Service, without prior notice or liability, upon any violation of these Terms. Grounds for termination include but are not limited to:

  • Uploading content you do not have rights to;
  • Using the Service to generate counterfeit or IP-infringing designs;
  • Any fraudulent, abusive, or illegal activity;
  • Any other breach of these Terms.

Upon termination, your right to use the Service ceases immediately. Any credits or one-time purchases are forfeited and are not subject to refund. Provisions of these Terms that by their nature should survive termination shall continue in full force and effect.

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

11.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including its formation, performance, or breach) shall be resolved exclusively through final and binding individual arbitration, rather than in court. Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) and take place in the United States.

11.2 Class Action Waiver

YOU AND FORMA NOVA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. No arbitration or proceeding shall be combined with another without the prior written consent of all parties.

11.3 Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the United States and the state in which FormaNova is domiciled, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this document and notify users through the Service or by email. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
